1. Agreement to Terms

By creating a Forge account, connecting an integration, or otherwise using the Forge platform ("Service"), you ("Customer," "you," "your") agree to be bound by these Terms of Service ("Terms").

If you are using Forge on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use Forge.

2. Description of Service

Forge is a cloud-based field service management platform designed for general contractors. Core features include:

  • Client and property management
  • Quote and job management
  • Crew scheduling and time tracking
  • Receipt capture and expense management
  • Invoicing
  • AI-powered assistant for owners and admins
  • Payroll calculation tools

Forge integrates with third-party services including QuickBooks Online (Intuit), Microsoft Outlook (Microsoft), Stripe (Stripe, Inc.), Twilio, Resend, and Cloudflare. Use of those services is governed by their respective terms of service.

3. Accounts and Access

3.1 Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account credentials. You may not share your login with others — each user must have their own account.

3.2 Multi-Tenant Access

Forge supports multiple companies ("Tenants") on a single platform. Each Tenant's data is strictly isolated. You may belong to more than one Tenant (e.g., as a bookkeeper for multiple businesses).

3.3 User Roles

  • Owner: Full access including billing and integrations. One owner per Tenant.
  • Admin: Full operational access; cannot manage billing.
  • Crew: Limited access — time tracking, receipt upload, and personal profile only.

You are responsible for ensuring your crew members' use of Forge complies with these Terms.

3.4 Account Security

Notify us immediately at [email protected] if you suspect unauthorized access. We are not liable for losses caused by unauthorized access to your account due to your failure to maintain credential security.

4. Subscriptions and Payment

4.1 Plans

Forge is offered on a subscription basis. Current plans and pricing are listed at forge.kin.team/pricing. Plans may include:

  • Free Trial: 14 days, full Forge features, no credit card required
  • Lite: $23.99/mo USD — 1 user (owner-only), capped AI
  • Forge: $49.99/mo USD — unlimited crew, unlimited AI, Agent API

4.2 Billing

Subscriptions are billed monthly in advance. Billing is handled by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Taxes

Prices shown exclude applicable taxes (GST, HST, or other). Applicable taxes will be added at checkout based on your billing address.

4.4 Failed Payment

If a payment fails, we will retry the charge. If payment remains outstanding after 7 days, your account may be downgraded or suspended. Your data will be retained for 90 days to allow for payment recovery.

4.5 Cancellation

You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your current billing period. You will retain full access until then. We do not offer prorated refunds for partial billing periods.

4.6 Refunds

We do not offer refunds except where required by applicable law. If you believe you were charged in error, contact [email protected] within 30 days.

4.7 Price Changes

We will provide at least 30 days' notice of price changes. Continued use after the effective date constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

  • Use Forge for any unlawful purpose
  • Upload content that is fraudulent, defamatory, obscene, or infringing
  • Attempt to gain unauthorized access to other accounts or Forge's systems
  • Reverse engineer, decompile, or disassemble any part of Forge
  • Use Forge to process data on behalf of third parties without authorization (i.e., do not resell access)
  • Use AI features to generate fraudulent invoices, manipulate payroll records, or deceive clients
  • Overload or abuse Forge's systems or third-party integrations
  • Use Forge to store or transmit malware or malicious code

We reserve the right to suspend accounts that violate these terms without prior notice.

6. Your Data

6.1 Ownership

You retain full ownership of all data you upload to or create in Forge ("Customer Data"). We do not claim any intellectual property rights over your Customer Data.

6.2 License to Operate

By using Forge, you grant Kin Labs a limited, non-exclusive, worldwide license to store, process, and transmit your Customer Data solely for the purpose of providing the Service to you. This license ends when you delete the data or close your account.

6.3 Data Portability

You may export your data at any time using the export tools in Forge. Supported export formats: CSV (clients, jobs, time entries, invoices), JSON (raw data on request).

6.4 Data Deletion

When you close your account, we will permanently delete your Customer Data within 90 days, except where we are legally required to retain it (e.g., financial records for 7 years).

6.5 Backups

We maintain automated database backups with 30-day retention. Backups are for disaster recovery only and are not a substitute for your own data exports.

7. QuickBooks Integration

Forge integrates with QuickBooks Online ("QB") to create and send invoices on your behalf. When you connect QB:

  • You authorize Forge to create invoices, customer records, and expenses in your QB account
  • QB is the invoice authority — invoice numbers are assigned by QuickBooks, not Forge
  • You are responsible for verifying the accuracy of data pushed to QB
  • Forge is not responsible for QB's availability, errors, or changes to the QB API
  • Revoking Forge's QB access does not automatically delete data Forge has already pushed to QB
  • Forge's integration with QB is subject to Intuit's platform terms

Important: Forge does not directly handle payments. Payment processing occurs through QuickBooks Payments (Intuit). Stripe and QB Payments are separate services.

8. Microsoft Outlook Integration

If you connect your Microsoft Outlook account to Forge's Email Intelligence feature:

  • Forge requests read-only access to your mailbox (Mail.Read scope) — we cannot send email from your account
  • Forge reads email thread text only when you explicitly select a thread to extract quote data from
  • Email thread text is processed in-memory and is not permanently stored beyond what is needed to generate the quote
  • You may disconnect Outlook access at any time from Settings → Integrations

9. AI Features

Forge's AI assistant is powered by Anthropic Claude. When using AI features:

  • Queries and relevant account data are sent to Anthropic's API to generate responses
  • AI features are available to owners and admins only — crew users have no AI access
  • AI responses may contain errors. Do not rely on AI output for legal, financial, or payroll decisions without verifying the underlying data.
  • Every AI action is logged in your account's audit log
  • We are not responsible for damages resulting from incorrect AI outputs
  • AI token usage counts against your plan's monthly budget. When the budget is exhausted, AI features pause until the next billing cycle.

10. Intellectual Property

10.1 Forge Platform

All software, design, trademarks, and content that make up the Forge platform are owned by Kin Labs or its licensors. These Terms do not grant you any rights in the Forge platform beyond the limited license to use the Service.

10.2 Feedback

If you submit feedback, ideas, or suggestions about Forge, you grant us an irrevocable, royalty-free license to use that feedback in any way, including to improve the product.

11. Availability and Modifications

11.1 Uptime

We target 99.5% monthly uptime for Forge. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by third-party providers (QuickBooks, Cloudflare, Hetzner, etc.).

11.2 Changes to the Service

We reserve the right to modify, add, or remove features at any time. We will provide reasonable notice for material changes that remove features you rely on.

11.3 Termination by Us

We may suspend or terminate your account if:

  • You breach these Terms
  • Your payment remains outstanding for 14+ days
  • We are required to do so by law
  • We decide to discontinue Forge (with 90 days' notice)

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • KIN LABS IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.
  • KIN LABS' TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM USE OF FORGE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID TO KIN LABS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 CAD.
  • FORGE IS PROVIDED "AS IS." WE MAKE NO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our negligence.

13. Indemnification

You agree to defend, indemnify, and hold harmless Kin Labs and its officers, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of Forge in violation of these Terms
  • Your Customer Data infringing the rights of any third party
  • Your violation of any applicable law

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.

14.3 Informal Resolution

Before initiating any legal proceeding, you agree to contact us at [email protected] to attempt informal resolution. We will respond within 14 days.

15. General

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kin Labs regarding Forge.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

15.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of all or substantially all of our assets.

15.5 Changes to Terms

We will provide at least 14 days' notice before making material changes to these Terms (via email to account owners). Continued use after the effective date constitutes acceptance.
